Joint Ventures

RDL regularly organizes new companies in target countries and joint ventures [JV] among other firms operating in the target country (eg beginning with the UK) as projects with the primary purpose of reducing CO2 emissions in the target country.

  1.      In most cases, RDL, or the company organized in the target company, continues as the Managing Joint Venture Partner, MJVP of the JV operating in the target company.  The MJVP’s compensation, for operating as MJVP, is its actual costs plus a fee of 7.5% of the overall profits (before applicable taxes) of the JV year by year during the life of the project or designated subprojects.

  2.     Alternatively, RDL, and/or other JVPs, may function as Joint Venture Partner-Consultant [JVP-C], responsible for support of the MJVP of the JV, in connection with the Project or one or more subprojects subordinate to the Project.  JVP-C’s compensation, for operating as JVP-C, is its actual costs plus a fee of 2.5% of the overall profits of the JV, before applicable taxes, year by year, during the life of the Project or designated subprojects.

  3.     Or, RDL may participate in a JV, organized by RDL or someone else, as an investor in the JV, called JVP.  The compensation of any JVP organized by RDL will be a percentage of the overall profits of the JV year by year during the life of the project, less the fees of the MJVP or JVP-C, or both.  The percentage shall be equal to the JVP’s investment divided by the total of all JVP investments.

  4.      RDL may function in any combination of the roles defined above, compensated for any actual costs and fees earned, whether the JV was organized by RDL or someone else.
